(the "Promotion")
## Official Rules
**NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. ALL DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND ENTRANTS GIVE UP THE RIGHT TO BRING CLAIMS AS PART OF A CLASS ACTION.**
The Promotion is offered by Rise & Rep LLC, doing business as Rise & Rep ("Rise & Rep," "we," "us," "our"). These Official Rules, together with our Privacy Policy and Terms of Service, govern the Promotion. They form an agreement between Rise & Rep and anyone who enters or takes part in the Promotion ("Entrant," "you," "your"). Entering means you accept these Rules.
This Promotion is not sponsored, endorsed, administered by, or associated with Instagram, Meta, Facebook, TikTok, Shopify, or any other third-party platform. You release all such platforms from any claim or liability connected to the Promotion. You are giving your information to Rise & Rep, not to any platform.

### 1. Eligibility
To enter, you must, at the time of entry:
- be at least eighteen (18) years old and have reached the age of majority where you live;
- be a permanent legal resident of the fifty (50) United States or the District of Columbia; and
- have a valid U.S. mailing address that is not a P.O. box.
Not eligible: employees, contractors, and owners of Rise & Rep, and the immediate family members (parent, child, sibling, or spouse) or household members of any of them.
This Promotion is subject to all applicable federal, state, and local laws. It is void in Puerto Rico, all other U.S. territories and possessions, outside the United States, and anywhere else it is prohibited by law.

### 2. How to Enter
The entry period opens at Noon Eastern Time on September 10 and closes at 11:59 p.m. Eastern Time on Sunday, September 13 (the "Entry Period"). Entries received outside the Entry Period will not be counted. Our server clock is the official timekeeper for the Promotion.
To enter, complete the entry form at Vamos! Giveaway! with your first name and a valid email address during the Entry Period. There is no cost to enter and no purchase is required at any point.
Limit of one (1) entry per person and per email address. Duplicate entries, entries submitted by automated means, entries submitted through any service that generates entries on your behalf, and entries made under a false or borrowed identity will be disqualified. We may disqualify all entries associated with any Entrant we determine has attempted any of the above.
Entries become the property of Rise & Rep and will not be returned or acknowledged. Submitting an entry is not proof that we received it. We may disqualify, in our sole discretion, any entry that is incomplete, illegible, altered, or otherwise does not comply with these Rules.
Entering the Promotion also subscribes you to Rise & Rep marketing emails. You may unsubscribe at any time using the link in any email we send, including immediately after entering, and unsubscribing will not affect your entry or your chance of winning.

### 3. Prize
One (1) prize will be awarded to one (1) winner (the "Winner"):
- One (1) Vamos! Tennis Cap, approximate retail value ("ARV") of [$26.00] U.S. dollars.
Total ARV of the prize is [$26.00] U.S. dollars. Rise & Rep's determination of prize value is final.
The prize is awarded as-is and is not transferable. No substitution, cash equivalent, or exchange is available, except that Rise & Rep may substitute a prize of equal or greater value if the stated prize becomes unavailable for any reason. If the actual value of the prize turns out to be lower than the stated ARV, no difference will be paid.
Rise & Rep will cover standard shipping of the prize to one U.S. address. All taxes on the prize, and any other cost or expense related to accepting, receiving, owning, or using it, are the Winner's sole responsibility.
The prize may not be returned, exchanged, or redeemed for cash, and may not be resold.

### 4. Winner Selection, Notification, and Odds
The Winner will be chosen at random from all eligible entries received during the Entry Period. The drawing will take place on or about September 14.
The Winner will be notified by email at the address given on the entry form by September 14. The Winner has seventy-two (72) hours from the time that email is sent to respond and provide a U.S. shipping address. If the Winner does not respond within that window, declines the prize, cannot be reached, or is found to be ineligible, the prize will be forfeited and an alternate Winner may be drawn at random from the remaining eligible entries. This may be repeated until the prize is awarded or the entries are exhausted.
We may require the selected Entrant to confirm eligibility in writing before the prize is shipped.
Rise & Rep is not responsible for a change to your email address or contact details, for notification emails that are filtered, blocked, or otherwise not received, or for delays outside our control. The prize will be shipped only to a verified Winner.
Odds of winning depend on the number of eligible entries received. For example, if 500 eligible entries are received, the odds of winning are 1 in 500. Disqualified entries are excluded from this calculation.

### 5. Use of Your Information
The email address and name you provide are collected by Rise & Rep to run the Promotion, to contact you about your entry, to notify you if you win, and to send marketing emails as described in Section 2. Your information is handled according to our Privacy Policy. If anything in that Privacy Policy conflicts with these Rules, these Rules control for purposes of the Promotion.
We do not sell your personal information.

### 6. Release
By entering, you release Rise & Rep and the Released Parties from any and all claims, liability, injury, loss, harm, or damage of any kind arising out of or connected to the Promotion, your participation in it, its administration, modification, or cancellation, or your acceptance, use, or misuse of the prize.
"Released Parties" means Rise & Rep, its owners, officers, employees, contractors, agents, and affiliates, along with any platform, vendor, supplier, shipper, or partner involved in offering, fulfilling, or delivering the Promotion or the prize, and the employees and agents of any of them. Any claim you may have is limited to Rise & Rep alone and not to any other Released Party.
**THE RELEASED PARTIES ARE NOT LIABLE FOR ANY INJURY, LOSS, OR DAMAGE OF ANY KIND — INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, OR CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY — RESULTING IN WHOLE OR IN PART FROM ENTERING THE PROMOTION, PARTICIPATING IN IT, OR ACCEPTING, POSSESSING, OR USING THE PRIZE. THE PRIZE IS AWARDED "AS IS," WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THE PROMOTION CANNOT BE RUN OR THE PRIZE CANNOT BE AWARDED BECAUSE OF EVENTS OUTSIDE OUR REASONABLE CONTROL.**
You also give up any rights you may have under California Civil Code Section 1542, or any comparable law in another state, which would otherwise preserve claims you do not know about or suspect at the time of this release. This release is intended to cover unknown and unsuspected claims as well as known ones.

### 7. Disclaimers
Rise & Rep is not responsible for: entries that are lost, late, incomplete, damaged, misdirected, or unreadable for any reason; failures of any network, server, computer, phone, or software; delayed or garbled internet or email transmissions, whether caused by user error, technical failure, or traffic congestion; typographical or administrative errors in the offer or operation of the Promotion; or any event beyond our control that disrupts the Promotion.
We reserve the right, at our sole discretion, to modify, suspend, postpone, or cancel the Promotion at any time, with or without notice, and to disqualify any person who tampers with the entry process, violates these Rules, or behaves in a disruptive, abusive, threatening, or harassing manner. If the Promotion cannot run as planned, we may void suspect entries and either cancel the Promotion, modify and resume it in keeping with the spirit of these Rules, or award the prize at random from the eligible entries received before the problem occurred.
**Any deliberate attempt to damage our website or interfere with the legitimate operation of the Promotion may violate criminal and civil law. If such an attempt is made, we reserve the right to pursue all available remedies to the fullest extent permitted by law.**
Any claim, judgment, or award is limited to actual out-of-pocket costs you incurred, and never includes attorneys' fees or the cost of litigation, arbitration, or mediation. **IN NO EVENT WILL RISE & REP OR ANY RELEASED PARTY BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR TOTAL DAMAGES EXCEEDING THE ARV OF THE PRIZE, REGARDLESS OF THE NUMBER OF CLAIMS OR THE LEGAL THEORY BEHIND THEM.**

### 8. Arbitration and Class Action Waiver
**Please read this section carefully. It affects your legal rights, including your right to sue in court.**
You and Rise & Rep agree that the Federal Arbitration Act governs this section. Any dispute or claim relating to the Promotion, these Rules, or the prize that is not resolved informally within thirty (30) days of written notice will be resolved by binding arbitration in your state of residence, administered by the American Arbitration Association under its rules, in English, before a single arbitrator. Any court with jurisdiction may enter judgment on the award. Each party is responsible for its own attorneys' fees and costs unless the law requires otherwise.
You may instead bring your claim in small claims court if it qualifies for that court and you are not seeking equitable relief.
You and Rise & Rep each agree to bring any claim only on an individual basis, and not as part of any class, consolidated, or representative proceeding, and not to participate in any such proceeding brought by anyone else. If a court or arbitrator finds this waiver unenforceable, the affected claim will not go to arbitration and must instead be brought in a state or federal court located in Queens, New York.

### 9. Changes to These Rules
Rise & Rep may modify these Official Rules at any time to the extent permitted by law. The version posted at this URL is the version that controls.

### 10. General
These Official Rules are the entire agreement between you and Rise & Rep regarding the Promotion. If any statement or communication about the Promotion conflicts with these Rules, these Rules control. If any provision is found unenforceable, the rest remain in effect. Except as required by law, these Rules are governed by the laws of the State of New York, without regard to conflict of law principles.
